Cooperative Endeavor Agreement Between THE STATE OF LOUISIANA DEPARTMENT OF PUBLIC SAFETY & CORRECTIONS YOUTH SERVICES - OFFICE OF JUVENILE JUSTICE And THE AVOYELLES PARISH SCHOOL BOARD In consideration of the mutual covenants contained herein, the State of Louisiana Department of Public Safety & Corrections, Youth Services - Office of Juvenile Justice (,'ySOJJ"), and the Avoyelles Parish School Board ("APSB") (collectively ',the parties") agree to enter into the following Cooperative Endeavor Agreement ("the Agreement,') and jointly covenant as follows: I, RECITALS: WHEREAS, Youth Services-Office of Juvenile Justice ("YS-OJJ,,) is a Louisiana state agency tasked with custody and supervision ofjuveniles adjudicated delinquent and families in need of servicesWHEREAS, on July l, 2014, the Cecil J. Picard Educational and Recreational Center, including all lands, property facilities, equipment, or any other corporeal movable property which was part of the facility as of July l, 2014, was transferred from the Louisiana Department of Education to the Louisiana Department of Public Safety and corrections, office of Juvenile Justice. This transfer was pursuant to Act 725 of the 2014 Regular Session of the Louisiana Legislature. WHEREAS, the APSB is the political subdivision responsible for the administration of school and education programs in Avoyelles Parish. WHEREAS, dating back to 2001, the Louisiana School for the Agricultural Sciences ("LaSaS") has been approved and licensed rype Il charter School chartered by the state Board of Elementary and Secondary Education, through the authority granted it La. R.S. l7:3971, et seq., for grades 7- 12. WHEREAS, YS-OJJ and the APSB desire to enter into this Agreement for the purpose of leasing certain property at the Cecil J. Picard Educational and Recreational Center toiaSaS for the operation of its charter school. 2. YS-OJJ COVENANTS

2.1 YS-OJJ will make available approximately eleven (ll) acres of land to the APSB, more
fully described on Attachment A to this Agreement. The property (hereinafter referred to as
"the leased premises") is described as follows:
An I I .77 -acre parcel of property located on the southern boundary of the Louisiana
Youth and Recreational Center property, located in Section 42, Tl S-R3E, Avoyelles
Parish Louisiana, as more fully shown on the attached survey plat made by Jessie P.
Lachney, Registered Land Surveyor, at Alexandria-Marksville, Louisiana, dated July 18,
2000. (See Attachment A).
2.2 YS-OJJ will lease the foregoing land and improvements thereon to the APSB, for the
benefit of the LaSaS, for a period commencing July 1,2024, and ending June 30, 2035.
3. APSB COVENANTS
3.1 In consideration for the use of the land and improvements thereon, the APSB agrees to be
responsible for all expenses associated with the operation, maintenance, and/or repairs of the
land and improvements.

3.3 The APSB recognizes that, pursuant to the terms of the 2001 agreement between the State
of Louisiana and the ASB and the 2014 transfer to YS-OJJ, that YS-OJJ owns all the
referenced land and improvements thereon.
3.4 The APSB agrees to keep the leased premises and improvements thereon in good,
habitable, and tenantable condition. The APSB agrees to make any and all repairs, at its own
sole expense, necessary to replace faulty construction or that becomes necessary because of
wear and tear or deterioration on the leased premises. The APSB shall reserve the use of the
leased premises for the exclusive use of the operation of the LaSaS. Neither the leased
premises nor any of the facility improvements thereon shall be used for any other function.
3.5 The APSB shall use and occupy the leased premises and appurtenances in a careful, safe,
and proper manner and shall comply with the valid requirements of the proper public
authorities regarding the conduct of its business, and the APSB will not permit the use ofsaid
premises for any unlawful purpose.
3.6 The APSB warrants that the operation, maintenance, and repair of the leased premises
will be performed in compliance with the applicable building and zoning codes and other
laws, regulations, or ordinances of any authority having jurisdiction over the leased premises.
3.7 The APSB covenants to provide 100% of the costs of any maintenance, repair, and
insurance necessary to allow LaSaS to utilize the property for its intended use as a school for
grades 7-12.
3.8 The APSB shall provide and pay for all janitorial services for the upkeep and
maintenance of the leased premises.
3.9 The APSB shall pay for all public utilities or other services consumed by the APSB on
the leased premises.
3.10 The APSB warrants it will, at its sole expense, make all necessary repairs required by
reason of any laws, ordinances, orders, or regulations.
3.11 The grounds adjacent to the leased premises will not be used by the LaSaS unless such
use is approved by prior written agreement with the Deputy Secretary of YS-OJJ.
4, DURATION, NOTICE, & TERMINATION
4.1 The term of this Agreement is to be effective luly l, 2024 and will continue through

4.2Inthe event the APSB or the State Board of Elementary and Secondary Education fails to
renew the LaSaS charter, revokes the charter, or allows it to naturally expire or lapse, this
Agreement will terminate immediately.
4.3 In the event the APSB passes a resolution that moves the LaSaS to a parish-owned
facility, YS-OJJ agrees to terminate this A$eement immediately.
4.4 In the event that the APSB fails to keep the leased premises in good, habitable, and
tenantable condition, YS-OJJ may terminate the Agreement for cause with thirty (30) days,
notice. cause shall include, but it not limited to, failure of the ApSB, after written demand, to
replace or repair faulty foundation or structural concems, repair electrical or HVAC wiring or

units necessary to safely and comfortably occupy the building, or to timely repair or replace
items that have deteriorated due to wear and tear.
4.5 Notwithstanding the foregoing, either party may cancel this contract without cause by
giving the other party written notice on or before April l"that the contract will be cancelled
effective July l"ofthat same year. If notice to cancel is not provided in writing on or before
April l"', then the Agreement cannot be cancelled without cause until April 1" of the
following calendar year.
4.6 Either party has the right to cancel this contract due to budgetary reductions or changes in
funding priorities ofthe State within sixty (60) days' written notice.
4.7 Upon completion or termination of this contract YS-OJJ reserves the right to request
copies of any records, reports or any other materials related to this contract or any portion
thereof.
5. NONASSIGNABILITY
5.1 Neither YS-OJJ nor the APSB shall assign or transfer any interest in this agreement
without prior consent of the other party. No modification of this agreement shall be binding
upon the parties hereto, unless consent is given, in writing, by both parties as represented by
the identified main contact below.
6. PUBLIC RECORDS AND CONFIDENTIALITY
6.1 YS-OJJ and the APSB shall comply with all provisions of the Louisiana Public Records
Act and make records pertaining to this agreement available for public inspection upon
request, unless otherwise exempt under other provisions ofthe l\blic Record Act.
6.2 YS-OJJ and the APSB shall comply with Federal and State laws and regulations
regarding confidentiality of juvenile information, it has knowledge of as a result of its
performance and involvement in the functions contained herein.
7. INDEMNIFICATION
7.1 As allowed by Louisiana law, YS-OJJ and the APSB shall defend, indemnifu and hold
each other harmless from and against all claims, liability, loss and expense, including
reasonable costs, collection expenses, attomey's fees, and court costs which may arise
because of the sole negligence, misconduct, or other fault of the indemnifying party, its
agents or employees in performance of its obligations under the agreement.
7.2 In addition, the APSB shall defend, indemnifr and hold the State and yS-OJJ harmless
fiom and against all claims, liability, loss and expense including reasonable costs, collection

expenses, attorney's fees and court costs which may arise because of any event that occurs
causing injury to any third party while on the leases premises.
8. INSURANCE
8.1 APSB shall be fully responsible for all personal property placed. stored, or located on or
about the Premises. The State shall not be responsible for any harm to any property belonging
to the APSB or LaSaS as a result of fire, theft, burglary, riots, loss, or acts of public
authorities, act of nature, or of any other circumstances.
8.2 APSB shall provide and maintain such insurance as will protect it from claims under
Worker's Compensation Acts, including but not limited to the Louisiana Worker's
Compensation Act, and any other claims for damages or personal injuries including death
which may arise from operations under this Agreement, whether such operation be by APSB
or by any Subcontractor or by anyone directly or indirectly employed by the insured party.
8.3 Without limiting any obligations or liabilities APSB shall maintain during the course of
this Agreement, at its sole cost and own expense, insurance coverage as follows:
a. Worker's Compensation Insurance issued by a program or carrier approved
by the Office of Worker's Compensation for the State of Louisiana, and in
accordance with all applicable state, and federal laws, including employer's
liability insurance ofnot less than $500,000.00 (Five Hundred Thousand Dollars).
The policy shall be endorsed to include a waiver of subrogation in favor of the
State.
b. Commercial general liability insurance, including bodily injury, property
damage, personal Injury, premises operations, products and completed operations
ofnot less than $1,000,000.00 (One Million Dollars) per occurrence.
c. Commercial automobile liability insurance on all owned, hired, or leased
vehicles, providing bodily injury and property damage coverage of not less than
$1,000.000.00 (One Million Dollars) per occurrence.
d. Professional liability insurance for any employed or contract physicians,
nurses, or other professional personnel performing services at the Center in a
minimum amount of $ I ,000,000.00 (One Million Dollars) per occurrence.
8.4 All deductibles under said policies shall be the sole responsibility ofAPSB.
8.5 APSB hereby waives all rights ofrecourse against the State, including any rights to which
another may be subrogated, with respect to any claim of personal injury, including death, or
any property damage, to the extent covered by the other party's insurance policies. All
policies of insurance shall provide the other party with thirty (30) days' prior written notice of
cancellation or any material adverse change.
8.6 APSB shall place all insurance, with companies authorized to do business in the State
of Louisiana and with a current A.M. Best Rating of "A-", Class Vl or better, with the
exception of Worker's Compensation Insurance which is excluded from the A.M. Best
rating. APSB shall further comply with the following:
a. APSB shall furnish, or have its insurer fumish to YS-OJJ, Certificates of
Insurance under all policies. Said Certificates of Insurance shall be properly
executed by an authorized representative ofthe insurer(s).
b. The State shall be listed as an additional on all required liability insurance
policies.
9. GOVERNING LAW AND VENUE
9.1 This agreement shall be govemed and construed by the laws of the State of Louisiana
now in force and as hereafter amended from time to time. All parties agree that the venue for
any litigation resulting from this Agreement is the l9'h Judicial District, parish of East Baton
Rouge, State of Louisiana.
IO. AMENDMENTS AND MODIFICATIONS
10.1 Whenever a need for an amendment or modification presents, the parties will work
together to amend the agreement to provide for changing needs of the parties. Any
amendment or annex will include an updated signature page, and must be agreed to by all
parties.
